Payment Facilitation Notice
This pack contains 18 working-draft legal documents. None of them have been reviewed by Texas counsel or counsel licensed in any other jurisdiction. They are a starting point for a real attorney engagement, not a finished publication. Brackets [highlight] indicate custom options to finalize.
1. Money Flow via Stripe Connect
SiteFlows provides software that allows an Operator to dispatch a Job, to lock pay at acceptance, to record time and GPS, to receive Proof of Work, and to resolve disputes. SiteFlows does not:
- The Operator's agreed Locked Pay amount is held in an escrow sub-account managed by Stripe Connect in the Operator's name.
- SiteFlows software records the Locked Pay state and triggers the auto-release rules configured by the Operator.
- When the Worker submits Proof of Work and the auto-release window elapses (default 24h), Stripe releases the Locked Pay to the Worker's connected payout account.
- If a dispute is filed, Stripe holds the affected Locked Pay until the dispute is resolved according to Section 7 of the Terms of Service.
- Stripe charges payment processing fees (2.9% + $0.30) directly. SiteFlows does not mark these up and does not retain any portion.
2. SiteFlows' Role as Technology Platform

- Provides the user interface through which Operators and Workers interact with their Stripe accounts
- Records the contractual Locked Pay amount and dispute state
- Configures auto-release timers and dispute holds via the Stripe API.
does not: SiteFlows does not:
- Hold customer funds in its own bank accounts
- Have authority to direct Stripe to disburse funds outside the rules pre-agreed by the Operator and Worker
- Act as an escrow agent independently of Stripe
- Act as a money transmitter, money services business, or payment processor
- Charge any fee that depends on the amount of Locked Pay (subscription fees are flat per tier).
3. Subscription Fees Separation
The monthly subscription fees Operators pay to SiteFlows ($39.99 / $99.99 / $179.99 / Enterprise) are a separate, flat fee for use of the software platform. Subscription fees are processed by Stripe (standard, not Stripe Connect) and flow to SiteFlows' own bank account.
4. Tax Forms
Where required by law, Stripe issues 1099-K (or equivalent) tax forms to Workers and Operators based on their connected accounts. SiteFlows does not issue these forms. SiteFlows may, in the in-app dashboard, provide informational summaries to help users prepare their returns; these are not tax advice.
5. Stripe Disputes
Disputes about the timing of a Stripe release, payout failure, account holds, or any other Stripe-side issue are resolved through Stripe's standard support and dispute channels. SiteFlows can assist by providing the underlying transaction records but cannot override Stripe's decisions.
6. Money-Transmitter Law
SiteFlows operates exclusively as a software service. Stripe is responsible for applicable money-transmitter licensing across all U.S. states. [Counsel: confirm Stripe's role as licensed entity covers the SiteFlows arrangement and document any state-specific exemptions relied upon.]
7. International Payments
At launch, SiteFlows operates in U.S. currency and U.S. payouts only. Cross-border payments are not currently supported.
